    The Reliance-Disney deal in 10 points

    1. Reliance Industries Limited (RIL), Viacom 18 Media Private Limited (Viacom18) and The Walt Disney Company (Disney) announced on Wednesday the signing of binding definitive agreements to form a joint venture that will combine the businesses of Viacom18 and Star India. As part of the transaction, the media undertaking of Viacom18 will be merged into Star India Private Limited (SIPL) through a court-approved scheme of arrangement.

    2. The Board of Directors of the Company, at its meeting held on Wednesday, approved primary investment of Rs 11,500 crore (~US$ 4 billion) in Star India Private Limited (SIPL) to acquire 16.34% of the paid up equity share capital of SIPL in terms of the subscription agreement between the Company and SIPL. SIPL was incorporated on February 8, 1994. The turnover of SIPL, as per its audited standalone financial statement, for financial years 2022-23, 2021-22 and 2020-21 was Rs 17,332.78 crore, Rs 15,500.77 crore and Rs 11,761.90 crore, respectively.

    3. The transaction values the JV at ₹70,352 crore (~US$ 8.5 billion) on a post-money basis, excluding Post completion of the above steps, the JV will be controlled by Reliance Industries (RIL) and owned 16.34% by RIL, 46.82% by Viacom18 and 36.84% by Disney. Disney may also contribute certain additional media assets to the JV, subject to regulatory and third-party approvals. Currently, Paramount also has 13% stake in Viacom18, but there are rumours that it may exit the venture in some time.

    4. Uday Shankar and James Murdoch (Lupa Systems) own Bodhi Tree Systems which owns 13% of Viacom18.

    5. Nita M Ambani will be the Chairperson of the JV, with Uday Shankar as Vice Chairperson providing strategic guidance to the JV.

    6. Disney to provide content licence to the joint The JV see the coming together of the linear TV and digital streaming properties from both stables. That is: Star Plus, Colors, Star Sports and Sports18. All the regional channels.

    7. Jio Cinema and Hotstar are likely to be merged.

    8. The JV will have over 750 million viewers across India and will also cater to the Indian diaspora across the world. So basically it will be the combination of the media expertise, cutting-edge technology and diverse content libraries of Viacom18 and Star Plus the domestic and global entertainment content and sports livestreaming services. Also. Disney’s films and shows to Viacom18’s renowned productions and sports offerings. The JV will also be granted exclusive rights to distribute Disney films and productions in India, with a licence to more than 30,000 Disney content assets, providing a full suite of entertainment options for the Indian consumer.

    9. The transaction is subject to regulatory, shareholder and other customary approvals and is expected to be completed in the last quarter of Calendar Year 2024 or first quarter of Calendar Year 2025. This includes the all-important clearances from the Competition Commission of India (CCI).

    10. The news operations of Reliance Industries (under Network18 Media & Investments Limited) are not part of this deal.

  • Free-to-stream: Will subscription models survive?

    Shailesh KapoorThe much-anticipated India-Pakistan clash in the Asia Cup, scheduled tomorrow (Sep 2), marks the start of a busy cricketing scene. The action is equally hectic off the field too. The start of the Asia Cup also coincided with the news that Viacom 18 has bagged the rights for BCCI-organized bilateral series in India over the next five years.

     

    Viacom 18/ JioCinema’s entry into sports has disrupted the landscape in 2023. From being a driver of paid subscriptions, cricket is now playing the role of reach aggregator on OTT. The Asia Cup is available for free streaming on Disney+ Hotstar, and the ODI World Cup that follows will go the same way. Indeed, the era of paid sports content in India maybe over. It’s only a matter of time that sports channels on TV go free-to-air as well.

     

    With the no. 1 sport in the country (and by some margin) being available for free, the state of several other sports, including football, tennis, wrestling, etc. hangs in balance. Will they continue to be “premium” offerings that get smaller audiences who are willing to pay for them? Or will the networks hope to expand the reach of these sports by making them available free? The question, of course, extends to television too.

     

    Are we going back in time, by shunning subscription models in favor of those dependent on advertising? Far from it. For the last several years, almost all major players, in the streaming space in particular, but also in linear television, have over-rated an average Indian’s inclination to pay for content. They have priced their products at levels that are untenable, and then gone on to offer handsome discounts, to the extent of 50-75% at times.

     

    But the core question is not about the price alone. It is: “Why pay at all?” Changing a market’s mindset from free to pay is an arduous task. We have seen how niche channels lost out once the NTO effects kicked in a few years ago. Outside the top 10 cities in India, paying for data, however low the rates maybe, itself is a choice to make. Stand-alone subscriptions are not even serious considerations. Reluctantly but inevitably, platforms have consented to being a part of aggregator bundles, where the ARPUs are much lower. A Jio-Netflix deal was announced just last week.

     

    It may seem like an extreme position to take, but the days of pay content in India, especially when it comes to mainstream content that’s targeting a wider demographic, may be numbered. The major GECs going free-to-air in the next 2-3 years is not ruled out either. It would just take one of the top 4 to make the move and grab the top spot, and things may look very different overnight.

  • Colors new brand film urges people to reflect on true selves

    The ongoing Covid-19 pandemic has taught people to slow down and find simpler ways to live life while putting vanities on the backburner. It has made us more conscious, compassionate, and empathetic towards others as we embrace the disruptive daily patterns. With this grain of thought, Colors has released its new brand film #InsaanHuaUnllock that asks people to find their missing selves and become more aware of the things that matter the most.

     

    Launched on the heels of its previous film, #JitneDurUtnePass that sent out a message of social distancing, the new brand film takes ahead the conversation and opens with a diary visual revealing human sketches interspersed with a voice-over narrating their pre- and post-Lockdown stories.

    BAMBOLIM (Goa): Creativity took centrestage on Day 2 of Goafest 2019. Senior advertising professionals from across the globe reiterated the fact that creativity still ruled the roost despite the advent of high technology in the making of advertising commercials.

     

    Gordon Bowen, founder and global chairman of McGarryBowen was of the opinion that creativity would always outlast data. Bowen who was speaking in the morning session of the Knowledge Seminar sponsored by Colors Marathi said that contemporary advertising was creativity led, data supported and technology driven. Driving home his point, Bowen said: “Even the Bible says that God is the creator. Creativity will always remain relevant.”

    Bowen shared several video clips of award winning advertising campaigns designed by his company for United Airlines, Chrysler, Hallmark cards and Chevron where the common thread clearly was the high level of creativity.

     

    Bowen, an unabashed fan of the Indian advertising world, complimented it for its ‘three-pronged’ strengths of being collaborative, humane and passionate.

     

    The same thread was carried forward by Barry Wacksman, vice chairman and global chief strategy officer at R/GA in the afternoon session of the Knowledge Seminar sponsored by MX Player. Pointing out how majority of the Fortune 500 companies had stagnated as they had lost the marketing battle to smaller, more digitally savvy companies, Wacksman said that transformation was the need of the hour for all of them.

     

    Wacksman, who stressed the need for speed in the transformation process, said that it constituted three stages, namely, business transformation, experiential transformation and marketing transformation. He further explained each stage with an advertising intervention created by his company which had helped the client manifold.

     

    For business transformation, Wacksman gave the example of how a banking app (Next Bank) was created in Brazil to encourage the younger generation to use banking services. In the example on experiential transformation, Wacksman explained how his company had used a video of basketball ace Michael Jordan taking a dunk shot wearing a particular model of Nike shoes. This resulted in record sales within two hours of the video being uploaded on the Android platform. Similarly, by introducing a gaming character called ‘Galaxy Skin’ on the Samsung Galaxy Note Pad 9 mobile phone, sales of over 240% was achieved for consumers in the 18-24 age group.

     

    Earlier in the day, Madonna Badger, Founder and Chief Creative Officer, Badger and Winters grabbed everybody’s attention when she spoke of her company’s highly visible, #Women Not Objects campaign across the USA. Badger who showed the audience multiple, contemporary product advertisements in which women have been portrayed as mere objects said, “This is an unacceptable situation. Women cannot be portrayed as mere objects.”

     

    Badger also shared a video survey undertaken by her company across the USA which showed how this advertising was having a negative impact on school-going children. Badger has even taken her campaign to the Cannes Lions International festival of creativity to reach out to the advertising fraternity at large.

     

    In the afternoon session, Navin Shenoy, marketing head, youth, music and English entertainment at Viacom 18 made a presentation on the topic of ‘MTV Youth Insights’ giving the audience a peep into MTV’s research wing.

     

    Quoting research figures, Shenoy pointed out the youth in metro and non-metro India no longer thought differently. A significant takeaway of Shenoy’s presentation was that youth from non-metro India was increasingly comfortable living and working in his/her hometowns.

     

    According to Shenoy much of this transformation was because of the reach of television, the internet and social media across the length and breadth of India.

     

    Day 2 at Goafest 2019 was also highly entertaining owing to some very interesting sessions like the one featuring Bollywood actress, Kalki Koechlin and emerging actor, Siddhant Chaturvedi of ‘Gully Boy’ fame and cricketer Virender Sehwag, who had the audience in splits with his easy-going humour.

     

    Child prodigy Harshwardhansinh Zala, all of 16 years old and founder of the Aerobotics 7 technology company had the audience awestruck, while Lt Gen DS Hooda ( retd), the Northern Army commander during the 2016 surgical strikes into Pakistan occupied Kashmir (POK) stirred patriotic emotions and Bollywoood singer Jonita Gandhi had everybody tapping their feet and clapping their hands with her peppy music.

     

  • Viacom18 and CMCA join hands for a clean Mumbaipost Ganapati Visarjan

    Aiming to be a change agent that engages communities to keep their surroundings clean, Viacom18 and young volunteers of Children’s Movement for Civic Awareness (CMCA) took up brooms and cleaned the major Ganesh Visarjan sites in Mumbai at Girgaum, Juhu and Aksa beaches. This is the second consecutive year of the partnership between Viacom18 and CMCA and is part of the former’s flagship CSR programme Chakachak Mumbai.

     

    As a part of the beach clean-up drive, Nickelodeon-toon Shiva and popular artist of Colors Marathi show ‘Comedychi GST Express’  Avdhoot Gupte joined over 500 students, to collect the waste that got washed back ashore after Ganesh immersions.

     

    Speaking about the initiative Sonia Huria,Head Communications & CSR, Viacom18 said: “Viacom18 is glad to be partnering with CMCA for the second consecutive year for the beach clean up drive. Children have the potential to bring about positive behaviour change around cleanliness and influence communities to make ‘Swacchta’ a way of life. With this initiative we hope to create a longstanding awareness about keeping our surrounding clean and maintain a sustainable lifestyle.”

     

    Sharing her thoughts about the cleanup drive Vinodini Lulla, Trustee at CMCA said: “CMCA has always been an advocate of responsibly celebrating festivals to minimize its impact on our surroundings. The cleanup is a life changing experience for our students every year.     Live Viacom18 has announced the 2018 edition of Vh1 Supersonic will be held on February 9, 10 and 11 in Pune.

  • HUL/PHD, Colors & Jagran lead Indian charge of 5 Golds at Montreux Festival

    The road to Cannes, it is said, starts from Montreux. Montreux Festival is a precursor to Cannes as it happens in April and every year many Cannes aspirants test their work at Montreux. Several Montreux winners in the past have gone on to win at Cannes.

     

    Indian companies and creative agencies struck five golds and sixteen finalists at the Golden Award Montreux Festival this year in Switzerland.

     

    PHD won a Gold and five finalists for HUL brands while Viacom 18 won a Gold and three Finalists. Jagran Prakashan did well with a Gold and 3 Finalists. Tree Design and  Mathrubhumi won a Gold and Finalist each.Other Indian winners were Living Foods channel (two finalists) and Dainik Bhaskar Publication-one finalist award.

     

    BBDO New York, BETC Paris and Heimat Berling Germany were the most awarded agencies with six Gold medals each at the Montreux Festival 2017.BBDO’s Golds were for Snickers, AT&T, Lowe’s, Sandy Hook. BETC were awarded for their creations for Evian, Canal+, Air France, Addict Aide, Leroy Merlin. Heimat received Golds for their work for Hornbach, FDP and Otto.

     

    This year, the Golden Award of Montreux received more than 3,400 entries from 38 countries. Results are on goldenawardmontreux.com. As is their tradition, Golden Award Montreux Festival only awards Golds and Finalists with no Silvers and Bronzes.

    The BARC India Board has elected Sudhanshu Vats, Group CEO, Viacom 18 as its new Chairman. Vats takes charge from Punit Goenka, MD and CEO Zee Entertainment who completed his tenure as BARC India Chairman.

     

    Vats has been associated with BARC India since its inception and has been a part of all the developments as a member of the Board of Directors. “It is indeed an honour and a privilege to be elected as the Chairperson of BARC India. In a span of two years, BARC India has been able to build a strong TV viewership measurement system. I’m honoured to have been given the opportunity to take the work being done by the entire team to the next level. I feel privileged because this comes at a time when our industry is about to enter its next growth orbit and a robust, comprehensive measurement system will only accelerate this transition. Finally, measurement and analytics is an area of personal interest and I couldn’t have asked for a better way to learn more about it,” said Vats.

     

    “Being the Chairman of BARC India has been a great experience. It has been a great ride, and indeed an exciting one. We started off with certain ideologies of being transparent, robust and being able to measure “What India Watches”. The team at BARC India has been able to achieve this.   • Storming with Insights!

    The launch of the website Insight Buzzar- a platform for storytellers to share their stories with the world

    The All India Management Association (AIMA) in association with Storm the Norm – a thinktank of passionate bunch of marketing, innovation and entertainment professionals hosted a conclave called ‘InsightStorm’. It was an interesting format where leading lights from art and business came together to share the insights from their respective fields and also get insights from each other.

     

    “The best insights are gained from conversations,” said Firdose Vandrevala, President, AIMA in his welcome speech at InsightStorm, the first edition of which was held on Wednesday, August 10.

     

    The Conclave was divided in to two halves. The morning half was called ‘Being Extraordinary’ and the post-lunch half was called ‘Doing Extraordinary’. These two broad categories were further divided in to sub-categories.

     

    In the ‘Being Visionary’ session, Indian film and television actor Kabir Bedi represented the art side and shared insights from his life and career. “Opportunity is a very strange thing and it does not come with marching brass bands,” he said. Bedi reminisced about the financial struggles he went through during his college days and which in turn helped him in being motivated to achieve and aim for bigger things. His concluding insight was, “Success is not an end. There are other worlds to conquer.” Ajay Bijli, owner of PVR Cinemas, represented the business side. But this session was a little different. Instead of Bijli sharing his insights straight away, he was asked three questions through which he explained the insights. He shared with the audience how his mini goal of offering something new to cinema goers gave birth to a bigger opportunity and more importantly the introduction of multiplexes in India.

     

    The next session was about ‘Being Pioneer’. Multidisciplinary artist and storyteller Raghava K K and Shabir Momin, MD and CTO at ZengaTV.com represented art and business respectively. This session was predominantly about the art of storytelling and how it can be used profitably for business purpose. “Live the best story you can create,” said the storyteller. Momin narrated a personal experience of how his talented sister-in-law was initially hesitant to commercialise her painting talent but now, with his help, she is an established painter. Momin’s insight: “Do not mind, I will convert your art in to movement.” Finally, they both had a common insight for the audience. “Story is the new money and the companies who understand it will flourish.”

     

    On one hand there was the national award winning film producer, screenwriter and director Vikas Bahl representing art and on the other side Ananya Birla, founder of Svatantra Microfinance, one of the youngest participants of the Conclave represented business. Birla spoke how at the mere age of 17 she wanted to be an entrepreneur and a catalyst for change in rural India. She said, “There are no finishlines, just milestones to be celebrated.” Bahl said that trust is a very important factor in being a leader. So, the trust on thoughts and people should always be maintained. He also added, success and failures should be embraced equally.

     

    In the midst of these insightful sessions, Anisha Motwani and Ranjan Malik, Co- founders and Managing Partners, Storm the Norm Ventures, launched their website Insight Buzzar, which will be live in the next few weeks. It is a platform for storytellers to share their experiences and stories, which can be under any category from business to entertainment or anything they want to share with the world.

     

    Actor, model, producer and social activist Dia Mirza and Neeraj Roy, MD and CEO, Hungama Digital Media Entertainment were the speakers in the ‘Being Innovator’ session. “When an individual’s thoughts are inclusive of humanity, then an individual’s happiness in benefitted by multiplicity,” said Mirza. She spoke about personal experiences and how sometimes most of us tend to think our personal problems to be much bigger than the real problem that exists in the world. Roy made the audience laugh by stating that he founded the company on April Fool’s Day and that is why his people do not take themselves seriously. According to Roy, “Storytelling will become more immersive, interactive and gamified, with video becoming like ‘Air’.”

     

    Two successful business stories were shared by Radha Kapoor, Founder and Executive Director, Indian School of Design and Innovation (ISDI) and Raj Nayak, CEO, Colors – Viacom 18 respectively. Kapoor described the journey of ISDI and shared her insights. She said, “Good design may not always make commercial sense but going forward every business must make great design sense.” “We wanted to jump out of the box, we wanted to break free,” said Nayak about how the channel was conceived. He explained the journey of Colors so far. He concluded by saying, “Breaking the status quo and finding a differentiating factor is the key.”

     

    The ‘Doing Extraordinary’ part of the conclave started with Arnab Goswami, Editor-in-chief and President, Times Network and Sam Balsara, Founder, Chairman and MD, Madison World and Madison Communications.  The session was on ‘Conceive’.“Go with your gut feeling,” said Goswami. He said that during the Commonwealth Games scam story, he was initially paranoid whether to break the story or not but ultimately he went with his gut and broke the story. A veteran marketing services professional, Balsara said, “It is an advantage to recognise that you are at a disadvantage. And, if it is safe, it is risky.” According to Balsara, many great ad campaigns do not see the light of the day because they could not be sold. Hence, the ability to sell is very important.

     

    The ‘Design’ session was initiated by Ashwin Sanghi, Author and Mahesh Murthy, Founder, Pinstrom and Co-founder, Seedfund. Sanghi narrated a funny story about his first book. When he went to a bookstore to see how his book was doing, he could not find it initially. Finally when he did find it, he purposely went and kept it in the best seller’s shelf. “An effective lie is one that stays as close to the truth as possible,” he said. Murthy described his investments in startups and how he noticed that the biggest brands in the world do not advertise. He said, “The dominant brand or name in a category is now the one who spends the least on advertising.”

     

    Rohan Joshi, stand-up comedian, writer and television presenter and Ashish Hemrajani, Founder-CEO, Bigtree Entertainment helmed the ‘Launch’ session. Joshi stressed on the obsession of clients about videos going viral and advised them not to think about the same since it takes away the essence from the larger picture. “A brand cannot demand a ‘viral’. It can only demand content. Virality is the internet’s decision, not the client’s,” he said. Hemrajani explained the rollercoaster ride of bookmyshow.com and how bid data helps them knowing their customers. He said, “Creating friction by asking information from users does not make for learning enough about your users.”

     

    The participants of the ‘Scale’ session were founder and blogger of MissMalini.com, Malini Agarwal and Radio Jockey, Actor, Anchor, Writer and Director Roshan Abbas. The common element between both of them was that both dared to dream and have been very successful in their respective fields. This session was predominantly about finding happiness in what you do and being happy in general. “It is great to scale fast but it’s ultimately about how long you last! Iconic brands are designed for longevity,” said Agarwal. Abbas stressed on the fact that it is important to find your replacement, so that you can focus on what has not been done. He said, “Start with spirit. Supplement with systems. And, find the balance between them.”

     

    Earlier in the day, painter and sculptor Jatin Das shared his story with the audience. He expressed his disappointment about the changing scenarios in terms of art and how commercialised it has become. “We buy more and see less, media celebrates the rich not the richness of our culture, change that at a primary level,” he said.

    MTV is ready to embark on a road trip to celebrate women with its brand new show ‘Sunsilk and MTV present Angels of Rock’. The show is an attempt to celebrate women, their stories of empowerment, self-belief and journey. It will feature four rock stars- Shalmali Kholgade, Anusha Mani, Jasmine Sandlas and Akasa Singh – riding across the country to inspire and be inspired by other women of our country.

     

    An interesting fact about the show is that apart from a female-led cast, it had a female crew filming it. It aims to bring out the success stories of women across cities, towns and villages of India. The show has tried to capture the essence of urban as well as rural India through the stories. The four women will travel from Mumbai to Wagah Border with multiple stopovers on the way to meet interesting women.  From female fire-fighters of Jaipur to the female rickshaw drivers of Haryana, the ‘angels’ have met women with extraordinary tales to share. Each episode will also have an original song compose which will describe the spirit of these stories.

     

    Speaking about the concept of the show, Ferzad Palia, Head, Youth and English Entertainment, Viacom 18 noted in a communique, “We are going a step ahead and celebrating womanhood in all its glory by bringing our viewers an unique proposition in form of Sunsilk and MTV present Angels of Rock- a show that is by the women, of the women but for everyone. The show focuses on inspiring stories of real women blended with travel, fun, and a whole lot of music created by four amazing singers.”

     

    “It is a wonderful opportunity for Sunsilk because it is a brand that talks to the youth. It is a youth brand but it is also a brand with fantastic heritage. MTV is one of the best ways to partner with because it is not only the number one entertainment youth brand but it is also a great iconic youth brand.   • Viacom 18 Colors Super, its second Kannada GEC

    Viacom18 announced the launch its second Kannada GEC, Colors Super on Thursday (July 7). The new channel will be launched on July 24.

     

    The content of the new channel will be a mix, spanning from mythology, fantasy and supernatural, to romcoms, reality television and world satellite premieres of movies. The new channel promises to induct a diverse mix of genres in the Kannada general entertainment market.

     

    Sudhanshu Vats, Group CEO, Viacom18, said, “In terms of market size in the Indian television scenario, regional entertainment is next only to Hindi general entertainment, as a category. Within the regional entertainment pie, the Kannada GEC ad market alone stood at an estimated Rs500 crore, financial year 2016. As we cemented our dominance on this market, we realised we had a lot more to offer – both in terms of content and brand solution opportunities. Colors Super will expand our offering to both the viewer, by bringing in missing genres into the market, and the advertiser, by increasing the available ad inventory, thereby plugging in existing gaps in the current market,” about the new channel at the launch.

     

    Speaking about the need for another channel in the Karnataka market, Ravish Kumar, Project Head, Regional Channels (Colors Kannada, Colors Super and Colors Bangla), Viacom18 said, “We had more ideas than more slots. We saw genuinely, from a viewer perspective. If I am a number one channel, I am doing well, my slots are doing well, I will not replace or change shows. There is a certain sort of break on the momentum from within. There is a demand for mythology, supernatural, romcoms etc. which is not being met today. So, our responsibility to our viewer I think is greater than self-serving needs. That is what we are trying to address with the launch of the new channel. We think the market is big enough, it is vibrant and growing enough for us to be able to accommodate content which is seen today.”

     

    Kannada actor Yash, who started his career with Colors Kannada, will be leading the marketing campaign for Colors Super. Viacom18 has planned a marketing blitz across 179 major towns of Karnataka, targeting both the urban and rural markets of the state.
